The South Korean government has expressed opposition to merger plans proposed by conglomerates SK and Doosan, viewing them as potentially harmful to efforts by the Yoon Suk Yeol administration to attract retail investors and boost the domestic capital market. This has led to increasing pressure from the National Pension Service (NPS) and financial regulators for these companies to reconsider their corporate restructuring strategies.

The NPS, which holds a significant stake in SK Innovation, announced it would vote against the merger of SK Innovation and SK E&S, citing concerns over the potential harm to shareholder value. This stance contrasts with the support the merger has received from foreign pension funds, such as those in California, which have followed global proxy advisers in backing the merger.

The NPS, along with local groups like Sustinvest and the Korean Corporate Governance Forum, argues that the proposed merger ratio is unfair to minority shareholders. Despite the likely approval of the merger due to support from SK Inc. and foreign investors, the NPS could exercise its appraisal rights, forcing SK Group to pay a significant amount, potentially disrupting the merger.

Similarly, speculation is mounting that the NPS may oppose Doosan's plan to merge Doosan Bobcat with Doosan Robotics, following criticism from the Financial Supervisory Service. If the NPS exercises its appraisal rights in this case, it could force Doosan Enerbility, the parent firm, to pay a substantial sum, complicating the merger process.

North Korea has strongly criticized the United States' recent approval of a $3.5 billion sale of Apache attack helicopters to South Korea, labeling it as a provocative move that exacerbates regional security instability. A North Korean foreign ministry official condemned the sale, which includes 36 AH-64E Apache helicopters, accusing the U.S. of deliberately heightening tensions on the Korean Peninsula, particularly during ongoing joint military exercises between South Korea and the U.S.

The official's statement, released by the Korean Central News Agency, also expressed concern over the U.S.'s increased arms sales to its allies in the Asia-Pacific region, including Japan and South Korea, calling it a significant challenge to regional security. In response, North Korea warned that it would continue to enhance its military capabilities to counteract what it perceives as a growing military imbalance caused by U.S. actions.

The criticism comes amid the annual Ulchi Freedom Shield exercises conducted by Seoul and Washington, which North Korea has consistently viewed as preparations for an invasion. North Korea indicated that, in light of the U.S.'s actions, it would strengthen its strategic deterrence to safeguard its national security and regional peace.
